1. Scope
These terms apply to use of the Boiling Harmonies website, artist marketplace, radio contribution workflow, ticketing, and related services.
2. Donations and Payments
- Donations and artist purchases are processed by third-party payment providers such as Stripe and PayPal.
- Payment processing is subject to the provider's own terms and privacy policies.
- Where legally required, records are retained for accounting and compliance.
- Unless a separate written policy says otherwise, donations are non-refundable after payment confirmation, except where required by law or where Boiling Harmonies decides otherwise at its discretion.
- Digital purchases, downloads, streams, tickets, and supporter rewards may be non-refundable once access has been delivered, unless mandatory consumer law requires a different result.
3. Artist Sales Terms
- Artists may upload music, set prices, and make albums or tracks purchasable only for content they are authorized to sell.
- Each album has an artist revenue share percentage set by Boiling Harmonies administrators. That percentage may differ by artist or release and is snapshotted at the time of sale for accounting.
- Transaction fees charged by the payment provider are deducted before platform revenue and artist payout are calculated, unless mandatory law requires a different treatment.
- Payout reporting inside the artist dashboard is informational and does not replace final accounting, tax, or payment reconciliation records.
- Refunds, chargebacks, fraud reviews, or legal claims may delay, reverse, or adjust artist earnings.
4. Publisher Upload Terms (Software, Films, eBooks)
- Publishers may upload software, films, eBooks, and related assets only when they are legally authorized to distribute them.
- For eBooks, if you upload multiple format files (for example PDF, EPUB, MOBI, AZW3), you represent and warrant rights to each uploaded format.
- You are responsible for format integrity, metadata, rights clearances, and lawful distribution for every file you upload.
- Boiling Harmonies may remove or disable files where rights ownership, distribution rights, licensing, or legal compliance is disputed or unclear.
5. Label and Artist Agreement Terms
- Labels and artists may create platform-recorded agreements covering a complete artist catalog, a specific album/release, or a specific track.
- The agreed artist share and label share must total 100%. Any Boiling Harmonies platform share is deducted from the label gross share unless a written agreement or current platform setting states otherwise.
- Both sides must explicitly accept the current offer before a label contract is finalized. A finalized contract snapshot records the accepted scope, split, timestamps, and terms version for platform accounting and audit purposes.
- Artists remain responsible for owning or controlling the rights they grant to labels. Labels represent that they have authority to manage, promote, publish, sell, or distribute any release they upload or administer through the platform.
- Where a label creates or manages a release for an artist, the label is responsible for accurate metadata, rights clearances, collaborator approvals, artwork permissions, and communications with the artist unless another written agreement says otherwise.
- Platform dashboards and sales reports are operational records and may be adjusted for refunds, chargebacks, payment-provider fees, fraud review, currency conversion, tax handling, or accounting corrections.
- Ending a label relationship does not automatically remove historical accounting records, completed purchase access, legal retention records, or previously accrued reporting entries.
6. Artist Rights Warranties
- By uploading content as an artist, you represent and warrant that you control or are authorized to license the relevant master and composition rights.
- You are responsible for every upload, file, recording, artwork, metadata entry, and rights statement you submit to the platform.
- If you upload on behalf of an artist, label, publisher, or rights holder, you confirm you are authorized to bind that party and you accept full legal responsibility for that upload.
- You must provide accurate rights-holder information, collecting society information, and release-status information when requested.
- You must not upload content that infringes copyright, neighboring rights, trademark, personality rights, or contractual obligations.
- You remain responsible for royalties, statements, clearances, consents, and permissions owed to collaborators, writers, producers, labels, publishers, and collecting societies unless Boiling Harmonies expressly agrees otherwise in writing.
- If you act as an artist, publisher, label, or other rights provider, you are solely responsible for any copyright infringement, publishing-rights infringement, unauthorized distribution, or metadata misrepresentation connected to the content you upload, license, sell, or contribute.
7. Radio Contribution Terms
- Radio contribution is optional and separate from download sales.
- When you mark a track for radio contribution, you grant Boiling Harmonies a non-exclusive, revocable license to store, copy, encode if needed, and stream that recording through approved Boiling Harmonies radio services in the licensed territories.
- You must contribute only tracks for which direct web radio licensing is available without conflict from collecting societies, labels, or distributors.
- Under the current platform policy, tracks linked to GEMA or another conflicting collecting society repertoire must not be contributed to radio unless Boiling Harmonies expressly approves a separate compliance process.
- A commercially released or published recording may be contributed to radio where the uploader confirms and can prove valid direct licensing for radio use.
- Boiling Harmonies may suspend, reject, remove, or mute any track if rights ownership, metadata, or licensing status is unclear or disputed.
8. Germany-Focused Rights Policy
Because Boiling Harmonies may operate with listeners, partners, or compliance obligations connected to Germany, artists may be asked whether any songwriter, composer, lyricist, publisher, or co-writer is registered with GEMA or another collecting society. Artists may also be asked whether the master recording has already been commercially released or published. If rights information indicates a collecting-society conflict or incompatible radio licensing path, Boiling Harmonies may refuse radio contribution even if download sales remain enabled.
9. Host, Event, and Ticket Terms
- Hosts and event organizers are responsible for event accuracy, venue permission, permits, safety, accessibility, insurance, age restrictions, capacity limits, local compliance, and guest communications.
- Hosts are responsible for event cancellations, postponements, line-up changes, entry rules, and refund decisions unless Boiling Harmonies expressly agrees otherwise in writing.
- Ticket payouts may be delayed or adjusted for refunds, chargebacks, fraud review, payment-provider delays, tax obligations, or legal claims.
10. Payouts, Taxes, and Reporting
- Payout timing, thresholds, currency conversion, and payment method availability may vary by product category, provider, creator status, and compliance review.
- Creators, labels, publishers, and hosts are responsible for their own taxes, VAT, invoices, registrations, declarations, and local reporting duties unless Boiling Harmonies expressly agrees otherwise in writing.
- Dashboard amounts are informational and may not be final settlement statements. Final payout amounts can be adjusted for fees, refunds, chargebacks, reversals, corrections, and legal holds.
11. Acceptable Use
- You must not use the service for fraud, malware, spam, credential abuse, scraping, harassment, unlawful content, rights infringement, sanctions violations, or attempts to bypass payment or access controls.
- Software publishers must not upload malware, spyware, deceptive installers, illegal circumvention tools, or export-controlled materials without all required permissions.
12. Takedowns and Account Actions
- Boiling Harmonies may remove content, disable downloads, disable radio contribution, hold payouts, or suspend accounts where there is a rights complaint, fraud concern, policy breach, sanctions issue, or legal requirement.
- Artists must cooperate promptly with metadata corrections, takedown requests, and proof-of-rights requests.
- Termination of an artist account does not automatically erase accounting records or legal retention records.
- Rights complaints should include enough information to identify the work, the allegedly infringing content, the claimant, contact details, and a good-faith explanation of the complaint. Boiling Harmonies may request further proof before acting.
13. Copyright Responsibility and Indemnity
- Boiling Harmonies provides platform services and does not assume authorship, ownership, publishing administration, or rights-clearance responsibility for content supplied by artists, publishers, labels, or other users.
- Boiling Harmonies is not responsible for copyright infringement, publishing-rights infringement, or other rights violations committed by an artist, publisher, label, or uploader using the platform.
- The person or entity uploading, distributing, licensing, or selling the content remains solely and completely responsible for obtaining all permissions and bearing any resulting claims, damages, penalties, settlements, or legal costs.
- You agree to defend, indemnify, and hold harmless Boiling Harmonies, its operators, and affiliates from third-party claims arising out of alleged or actual infringement, unauthorized exploitation, false ownership claims, or breaches of these terms caused by content or rights information you provide.
14. Service Availability and Changes
- The service is provided on an "as is" and "as available" basis. Features, payout settings, eligibility rules, and workflows may change prospectively.
- Boiling Harmonies is not responsible for outages or delays caused by third-party services such as payment providers, hosting, storage, email delivery, radio infrastructure, or network providers.
15. Limitation of Liability
To the fullest extent permitted by law, Boiling Harmonies is not liable for indirect damages, lost profits, data loss, reputational harm, business interruption, or claims caused by user-supplied content, third-party services, payment-provider actions, or rights disputes. Nothing in these terms limits liability where mandatory law does not allow limitation.
16. Governing Law and Disputes
Unless mandatory consumer law requires otherwise, disputes should first be raised by contacting Boiling Harmonies so the parties can try to resolve the issue informally. The governing law and venue may be confirmed in the operator's formal legal notice or a separate written agreement.
17. Public Donor Display
Supporter names may appear on public fundraiser lists unless the anonymous option is selected during donation.
